Terms of Service

Last updated October 23, 2026 · Version 2026-10-23-draft

Draft pending legal review. Highlighted items still need the owner's decision before this document is final.

These terms are an agreement between you (and the shop you represent) and Apex Innovationz [Owner to confirm: full legal entity name, type and state of registration], which provides PartsPilot AI. By creating an account or subscribing you agree to them. If you accept on behalf of a shop, you confirm you are authorized to do so.

1. Accounts and shop users

You must give accurate information, keep your password private and tell us promptly about unauthorized use. Each account belongs to one shop. The shop owner controls who is invited, their role (owner or staff) and removing access, and is responsible for everything done under the shop's accounts. You must be at least 18 and using PartsPilot for business purposes.

2. Subscriptions and billing

Subscriptions are per shop, billed monthly in U.S. dollars through Stripe at the price shown on our pricing page when you subscribe. New shops get a 7-day free trial; unless you cancel before it ends, the first charge happens when it ends. Subscriptions renew automatically each month until cancelled. Taxes may be added where required.

If a payment fails, Stripe retries it and access continues during that period; if payment ultimately fails, access to shop data is paused until the subscription is active again (your data is kept). Plan changes are made in Manage billing and Stripe applies any proration it shows you. We will give at least [Owner to confirm: notice period, e.g. 30 days] notice before changing the price of an existing subscription.

3. Cancellation and refunds

The shop owner can cancel anytime under Billing → Manage billing. Cancellation stops future renewals; access continues until the end of the period already paid. [Owner to confirm: refund policy — e.g. no refunds for partial months, or exceptions]

4. Acceptable use

You agree not to: break the law or others' rights; upload data you have no right to use; try to access another shop's data or bypass security or plan limits; probe, overload or disrupt the service; scrape or resell the service; use supplier connections to violate a supplier's terms; or use AI drafts to send misleading or unlawful messages. We may suspend accounts that do.

5. Your data and your customers' data

Your shop owns the records it puts into PartsPilot. You give us permission to store and process them only to provide, secure and support the service, as described in our Privacy Policy. You are responsible for having the right to collect and use your customers' information and for complying with laws that apply to your shop. You can export parts orders and invoices to CSV.

6. Calculations, AI and your review

PartsPilot helps with priorities, prices, taxes and invoice totals, and can draft messages with AI. These are aids: you are responsible for reviewing invoices, prices, tax rates, fitment and messages before relying on them or sending them. Tax rates and markups come from your settings. PartsPilot does not provide legal, tax or accounting advice.

7. Supplier and third-party services

No parts supplier is currently connected live to PartsPilot. Saving a part to a repair order or creating a supplier draft does not place an order with a supplier. If a supplier integration becomes available and your shop connects it, your use is also subject to that supplier's terms; prices, stock, fitment and delivery dates come from the supplier, and we are not responsible for the supplier's products, pricing or performance. Payments are processed by Stripe under Stripe's terms.

8. Service availability and changes

We work to keep PartsPilot available but do not guarantee it will be uninterrupted or error-free, and we do not currently offer a service-level agreement. We may change or improve features; if we remove a core feature you pay for, we will give reasonable notice.

9. Intellectual property

We own PartsPilot, its software and its content. You get a non-exclusive, non-transferable right to use it for your shop's internal business during your subscription. Feedback you give us may be used to improve the service without obligation to you. PartsPilot is not affiliated with CCC Intelligent Solutions or with any supplier named on our site.

10. Disclaimers

To the extent the law allows, the service is provided "as is" and "as available" without warranties of any kind, including merchantability, fitness for a particular purpose and non-infringement. [Owner to confirm: legal review of this section]

11. Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue or data, and our total liability for any claim is limited to the amount your shop paid us in the [Owner to confirm: period, e.g. 12 months] before the claim. Some places do not allow these limits, so they may not apply to you. [Owner to confirm: legal review of this section and whether to add an indemnity clause]

12. Termination

You can stop using PartsPilot and cancel at any time. We may suspend or end access for serious or repeated breaches of these terms, non-payment, or where required by law, with notice where reasonable. After termination you may request an export of your data within [Owner to confirm: number of days].

13. Disputes and governing law

Please contact us first at info.apexinnovationz@gmail.com; we will try to resolve any problem informally. These terms are governed by the laws of [Owner to confirm: state], and disputes will be handled in the courts of [Owner to confirm: county and state], [Owner to confirm: or choose arbitration — requires legal review].

14. Changes to these terms

We may update these terms. We will post the new version here and notify account owners of material changes before they take effect; continuing to use PartsPilot after that means you accept them.
